1. Agreement to Terms

By accessing or using Shuunnya Accounting ("Shuunnya", "the Service", "the Platform") at accounting.shuunnya.com, operated by Shuunnya Solutions ("we", "us", "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service.

These Terms constitute a legally binding agreement between you and Shuunnya Solutions, governed by the laws of India.

2. Description of Service

Shuunnya Accounting is a cloud-based software-as-a-service (SaaS) platform that provides:

• Double-entry accounting and bookkeeping
• GST-compliant invoicing (sales, purchases, credit/debit notes)
• Inventory and stock management
• Estimates, purchase orders, and payment tracking
• Financial reports (P&L, balance sheet, trial balance, GST reports)
• Expense management and journal entries

The Service is provided "as is" and "as available". We may modify, update, or discontinue features at any time with reasonable notice.

3. Account Registration

• You must provide accurate and complete information when registering
• You must be at least 18 years of age to create an account
• You are responsible for maintaining the confidentiality of your login credentials
• You are responsible for all activities that occur under your account
• You must notify us immediately of any unauthorized access to your account
• One person or entity may create multiple business profiles, each with its own isolated data

4. Your Data

4.1 Ownership

You retain full ownership of all data you enter into the platform, including business records, invoices, contacts, inventory items, and financial data ("Your Data"). We claim no intellectual property rights over Your Data.

4.2 License to Us

You grant us a limited, non-exclusive license to store, process, and display Your Data solely for the purpose of providing the Service to you.

4.3 Data Portability

You may export Your Data at any time using the export features available within the platform. We are committed to ensuring you are never locked into the Service.

4.4 Data Isolation

Each business you create on Shuunnya is stored in its own dedicated database, ensuring complete isolation of your financial data from other users and businesses.

5. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable Indian law
• Attempt to gain unauthorized access to the Service, other accounts, or our systems
• Interfere with or disrupt the Service or its infrastructure
• Upload malicious code, viruses, or any harmful content
• Use the Service to store or transmit content that infringes on intellectual property rights
• Resell, sublicense, or redistribute the Service without written permission
• Use automated tools (bots, scrapers) to access the Service without authorization
• Generate fraudulent invoices or use the platform for money laundering or tax evasion

We reserve the right to suspend or terminate accounts that violate these terms.

7. Intellectual Property

The Service, including its design, code, logos, trademarks, and documentation, is the intellectual property of Shuunnya Solutions and is protected under Indian copyright and trademark laws.

You may not copy, modify, distribute, or reverse-engineer any part of the platform without our prior written consent.

8. Service Availability

• We aim to provide 99.9% uptime but do not guarantee uninterrupted service
• The Service may be temporarily unavailable due to maintenance, updates, or factors beyond our control
• We will make reasonable efforts to notify users in advance of planned maintenance
• We are not liable for any losses resulting from service downtime or interruptions

9. Limitation of Liability

To the maximum extent permitted by applicable Indian law:

• The Service is provided "as is" and "as available", without warranties of any kind, express or implied
• We do not warrant that the Service will be error-free, secure, or continuously available
• We shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service
• Our total liability for any claim arising from the Service shall not exceed the amount you have paid us in the 12 months preceding the claim, or INR 5,000, whichever is greater
• We are not responsible for any tax penalties, incorrect filings, or financial losses resulting from reliance on reports or calculations generated by the platform

10. Indemnification

You agree to indemnify and hold harmless Shuunnya Solutions, its officers, and affiliates from any claims, losses, liabilities, damages, or expenses (including legal fees) arising out of:

• Your use or misuse of the Service
• Your violation of these Terms
• Your violation of any applicable law or regulation
• Any data you enter into the platform

11. Account Termination

11.1 By You

You may delete your account at any time. Upon deletion, your business databases and all data within them will be permanently removed in accordance with our Privacy Policy.

11.2 By Us

We may suspend or terminate your account if:

• You violate these Terms or the Acceptable Use policy
• Your account is used for fraudulent or illegal activity
• You fail to respond to security-related communications
• Required by law or government order

We will provide reasonable notice before termination unless immediate action is required for security or legal reasons.

12. Modifications to Terms

We may revise these Terms from time to time. When we make material changes, we will notify you through the platform or via email at least 15 days before the changes take effect. Continued use of the Service after the effective date constitutes acceptance of the revised Terms.

13. Governing Law & Disputes

These Terms are governed by and construed in accordance with the laws of the Republic of India. Any disputes arising from these Terms or the Service shall be subject to the exclusive jurisdiction of the courts in India.

Before initiating legal proceedings, both parties agree to attempt to resolve disputes through good-faith negotiation for a minimum period of 30 days.

14. Severability

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will continue in full force and effect.
